Oregon LLC Name Search — Check Availability
Before filing your Articles of Organization, you must verify that your desired LLC name is available on the Oregon Business Registry. The Secretary of State maintains a database of all registered entities — corporations, LLCs, limited partnerships, and reserved names — and your LLC name must be "distinguishable on the record" from all existing entries. For the full formation process, see our Oregon LLC guide.
How to Search the Oregon Business Registry
Step-by-step:
- Go to sos.oregon.gov/bus/Pages/find.aspx (Oregon Business Name Search)
- Enter your desired business name in the search field
- Review results — the system shows exact matches and similar names
- Check both active and inactive entities (recently dissolved names may still be unavailable)
- Search variations of your name (abbreviations, alternate spellings, word order)
The standard: Under the Oregon LLC Act (ORS Chapter 63), your name must be "distinguishable on the records" of the Secretary of State. This is stricter than requiring an exact match but less strict than requiring complete uniqueness. Examples:
- "Cascade Tech LLC" vs "Cascade Technology LLC" — likely NOT distinguishable (too similar)
- "Cascade Tech LLC" vs "Cascade Brewing LLC" — likely distinguishable (different meaningful word)
- "PDX Web Design LLC" vs "PDX Web Designs LLC" — likely NOT distinguishable (only plural differs)
Oregon LLC Naming Rules )
Required:
- Must contain "Limited Liability Company," "LLC," or "L.L.C."
- Must be distinguishable from all existing names on the Business Registry
Restricted words (require additional documentation):
- "Bank," "banking," "trust," "trustee" — requires approval from Oregon Division of Finance
- "Insurance," "surety," "indemnity" — requires approval from Oregon Department of Consumer and Business Services
- "Engineer," "architect," "surveyor" — requires evidence of professional licensing
- Words implying government affiliation are prohibited
Not restricted:
- Oregon does not restrict use of "group," "partners," "associates," or similar terms (though they can't imply a different entity type)
- Foreign language names are acceptable but must include the English "LLC" designator
Tips for Choosing a Name
Ready to get started?
Get Started- Search before you commit — Don't order business cards, build a website, or sign a lease until you've confirmed availability on the Business Registry
- Consider trademark conflicts — A name can be available on the Oregon registry but still infringe on a federal trademark. Search the USPTO database at uspto.gov/trademarks as well
- Think about domain availability — Check if a matching .com domain is available before finalizing
- Avoid overly generic names — "Oregon Services LLC" may be available but is weak for branding and may conflict with multiple similar entries
- Regional identifiers work well in Oregon — "Willamette," "Cascades," "Pacific," "Gorge," "PDX," "Bend," "Deschutes" are popular prefixes/identifiers for Oregon businesses
If Your Name Is Taken
Options:
- Modify the name (add a distinctive word, geographic identifier, or industry descriptor)
- Check if the existing entity is inactive/dissolved — contact the Business Registry to ask about availability timelines
- Consider operating under an assumed business name (Oregon DBA) — your LLC's legal name is one thing, but you can register a different trade name at the county level for public use
- Negotiate with the existing entity (rare, but possible for dormant entities)
Name Reservation
If your name is available but you're not ready to file Articles of Organization immediately, you can reserve the name for 120 days:
- Fee: $100
- Filed with: Secretary of State, Business Registry Division
- Duration: 120 days (renewable)
- Reserves the name for your exclusive use during that period
Cost

- Assumed business name registration: Varies by county (typically $50-$75) — only needed if operating under a name different from your LLC's legal name
FAQ
Is the name search tool always accurate?
The Business Registry search is current as of filing — names approved that day appear immediately. However, pending applications not yet processed won't show. If you're concerned about a name that's borderline distinguishable, file a name reservation to secure it while you prepare.
Can two businesses have the same name in Oregon?
Not on the Secretary of State's registry if they're both LLCs or similar entities. However, a sole proprietor operating under an assumed business name at the county level could potentially have the same name as your LLC — the county and state registries are separate systems.
What if someone has a similar name in a different state?
The Oregon Business Registry only considers Oregon-registered entities. A company in California with a similar name does not prevent you from using that name in Oregon. However, federal trademark law still applies — if the other company has a registered trademark, you could face a cease-and-desist regardless of state registration.
Can I change my LLC name later?
Yes. File Articles of Amendment with the Secretary of State ($100 fee). You'll need to update your EIN records with the IRS, bank accounts, contracts, and any city business license registrations.
